These Terms of Service ("Terms") govern the institutional relationship between Rory Financial UK Ltd. ("Rory Financial", "we", "us", or "our") and your organization when accessing our APIs, routing networks, and virtual account systems in the United Kingdom or the European Economic Area (EEA).

1. Compliance and Screening

As a provider of financial software infrastructure, we operate in compliance with UK and European AML, KYC, and sanctions screening guidelines. We reserve the right to suspend API endpoints or block transaction routes that fail compliance validation.

2. Platform Liability

2.1 Foreseeable Damage

In accordance with English law, we are responsible for direct, foreseeable losses caused by our material breach of contract or negligence.

2.2 Exclusions

We do not exclude liability for death, personal injury caused by negligence, or fraud. However, as this is a business-to-business platform, we exclude liability for loss of profits, business disruption, or indirect financial damage.

3. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising in connection with these Terms shall be resolved exclusively in the courts of London, England.
