These Terms of Service ("Terms") govern your use of the corporate platform, developer APIs, ledgers, and routing networks provided by Rory Financial Group, Inc. ("Rory Financial"). By provisioning an administrative account, utilizing our API credentials, or routing transactions through our network, you agree to these Terms on behalf of your institution.


1. Developer Accounts and API Usage

1.1 Credential Security

You are solely responsible for protecting client secrets, API keys, and access credentials. Any transaction submitted using your API credentials will be deemed authorized by your institution.

1.2 Rate Limits and Abuse

We reserve the right to enforce rate limits, payload constraints, and security blocklists to protect our platform integrity. Abuse or unauthorized reverse engineering of our network will result in immediate API suspension.

2. Platform Compliance and Transaction Screening

Rory Financial conducts automated PEP, sanctions list, and risk screening on counterparties in real time. We reserve the right to decline or reverse any transaction that triggers risk thresholds, matches sanction criteria, or violates compliance policies.

3. Intellectual Property

Rory Financial retains all right, title, and interest in and to our proprietary ledger technology, routing systems, wordmarks, and documentation. No license is granted under these Terms other than a limited right to integrate our APIs.

4. Limitation of Liability

IN NO EVENT WILL RORY FINANCIAL BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our aggregate liability under these Terms is limited to the fees paid by your institution in the preceding twelve-month period.

5. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, without reference to conflict of laws principles. Any legal action arising from these Terms must be filed in the state or federal courts located in Wilmington, Delaware.
